1. Acceptance of Terms & Agreement

Welcome to SponsorClub ("we," "us," "our," or the "Platform"). These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and SponsorClub Ltd. (Cyprus) By creating an account, accessing, downloading, or using the Platform, you expressly acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. SponsorClub Ltd. (Cyprus) is the contracting entity; governing law is the laws of the Republic of Cyprus and exclusive jurisdiction for any court proceedings (if any) lies in Nicosia, Cyprus, subject to mandatory arbitration below.

IF YOU DO NOT AGREE TO THESE TERMS, DO NOT ACCESS OR USE THE PLATFORM.

Eligibility: You must be at least 18 years of age (or the age of majority in your jurisdiction) to use this Platform. By using the Platform, you represent and warrant that you have the right, authority, and capacity to enter into this Agreement and to abide by all of the terms and conditions of this Agreement.

3. Data Security & "AS IS" Disclaimer

A. NO WARRANTY OF SECURITY: While we strive to use commercially acceptable means to protect your Personal Data, we cannot guarantee its absolute security. You acknowledge that no method of transmission over the Internet, or method of electronic storage, is 100% secure. YOU USE THE SERVICE AT YOUR OWN RISK.

B. DATA LEAKS & BREACHES: SponsorClub expressly disclaims any liability for unauthorized access, use, or disclosure of your personal information, photos, chat history, or location data resulting from hacking, data breaches, software vulnerabilities, or third-party acts. You acknowledge that by using a digital platform, you are exposing your data to inherent risks of interception and theft.

C. "AS IS" AND "AS AVAILABLE": The Service is provided on an "AS IS" and "AS AVAILABLE" basis. SponsorClub makes no representations or warranties of any kind, express or implied, as to the operation of the Service or the information, content, or materials included therein. You expressly agree that your use of the Service is at your sole risk.

5. Indemnification

You agree to defend, indemnify, and hold harmless SponsorClub, its parent corporation, officers, directors, employees, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from:

• Your use of and access to the Service;
• Your violation of any term of these Terms;
• Your violation of any third-party right, including without limitation any copyright, property, or privacy right;
• Any claim that your Content caused damage to a third party.

This defense and indemnification obligation will survive these Terms and your use of the Service.

6. Binding Arbitration & Class Action Waiver

READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

A. MANDATORY ARBITRATION: Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by binding arbitration seated in Nicosia, Republic of Cyprus, before one arbitrator, under the rules of a reputable Cyprus arbitration institution. The governing law shall be the laws of the Republic of Cyprus.

B. CLASS ACTION WAIVER: YOU AGREE THAT ANY ARBITRATION SHALL BE CONDUCTED IN YOUR INDIVIDUAL CAPACITY ONLY AND NOT AS A CLASS ACTION OR OTHER REPRESENTATIVE ACTION, AND YOU EXPRESSLY WAIVE YOUR RIGHT TO FILE A CLASS ACTION OR SEEK RELIEF ON A CLASS BASIS.

C. JURY TRIAL WAIVER: YOU HEREBY WAIVE YOUR CONSTITUTIONAL AND STATUTORY RIGHTS TO GO TO COURT AND HAVE A TRIAL IN FRONT OF A JUDGE OR A JURY.

7. Errors, Glitches & Downtime

SponsorClub does not warrant that the Service will be uninterrupted, secure, or error-free. We reserve the right to modify, suspend, or discontinue the Service at any time without notice. We shall not be liable to you or to any third party for any modification, suspension, or discontinuance of the Service.

We are not responsible for any data loss due to server crashes, software bugs, or maintenance. You are responsible for backing up your own data.

9. No Liability for Other Users' Conduct — General Release

A. COMMUNICATION PLATFORM ONLY. SponsorClub is solely a communications intermediary. We do not select, employ, contract with, endorse, recommend, sponsor, background-check, screen, or investigate any user. We have no ability to control, and do not control, the conduct, statements, or actions of any user on or off the Platform. Any profile content, message, photograph, statement of income, wealth, marital status, age, gender, health, employment, education, location, or intention originates from users, not from SponsorClub, and is provided by them at their sole responsibility.

B. GENERAL RELEASE. Because SponsorClub is not involved in actual interactions between users, in the event that you have a dispute with one or more users, you hereby release SponsorClub, its parent, subsidiaries, affiliates, officers, directors, employees, contractors, agents, licensors and suppliers from any and all claims, demands, damages (actual and consequential), losses, costs, and expenses of every kind and nature, known and unknown, disclosed and undisclosed, arising out of or in any way connected with such disputes. If you are a California resident, you expressly waive California Civil Code §1542, which states: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party." Equivalent statutes or common-law rules in any other jurisdiction are likewise waived.

C. THIRD-PARTY LINKS & SERVICES. The Platform may contain links to third-party websites, applications, or payment processors. SponsorClub does not endorse and is not responsible for the content, accuracy, opinions, privacy practices, or products of any third party. Your use of any third-party service is at your own risk and subject to that party's terms.

10. Force Majeure

SponsorClub shall not be liable for any failure or delay in performance under these Terms resulting, in whole or in part, from any cause beyond its reasonable control, including without limitation: acts of God, natural disasters, war, terrorism, riots, civil unrest, government action, embargoes, national or regional emergencies, pandemics or epidemics, strikes or labor disputes, internet or telecommunications outages, denial-of-service or cyber-attacks, hosting or cloud-provider failures, third-party API failures, changes in law, court orders, or acts or omissions of third parties (including payment processors, verification vendors, or communications carriers). SponsorClub's obligations shall be suspended during any such event and no liability shall accrue against SponsorClub for its duration or aftermath.

12. Complete Waiver of Non-Direct Damages

Under no circumstances — even in the event of the fundamental breach of these Terms, the failure of essential purpose of any limited remedy, negligence (including gross negligence), or strict liability — shall SponsorClub be liable to you for lost profits; lost revenue; lost data; loss of goodwill; loss of business opportunity; costs of substitute goods or services; emotional distress; pain and suffering; personal injury; property damage; punitive, exemplary, aggravated, or multiple damages; or any indirect, incidental, special, or consequential damages of any kind, however caused.

This waiver applies regardless of whether such damages were reasonably foreseeable, regardless of whether SponsorClub was advised of the possibility of such damages, and regardless of the legal theory upon which the claim is based (contract, tort, statute, strict liability, or otherwise). The USD $10.00 aggregate liability cap in Section 2.C remains the absolute ceiling.

13. Governing Law & Exclusive Forum

These Terms and any dispute arising out of or relating to them or the Service are governed by, and shall be construed exclusively in accordance with, the laws of the Republic of Cyprus, without regard to conflict-of-law rules. To the extent any dispute is not subject to the mandatory arbitration clause in Section 6, you and SponsorClub irrevocably submit to the exclusive jurisdiction of the courts of Nicosia, Cyprus, and expressly waive any objection to venue or forum non conveniens.

The United Nations Convention on Contracts for the International Sale of Goods does not apply. If you access the Service from outside Cyprus, you do so on your own initiative and are responsible for compliance with local laws.

14. Termination, Suspension & No Refund

SponsorClub may suspend, restrict, or terminate your account or access to the Service at any time, for any reason or for no reason, with or without notice, in its sole and absolute discretion, including for violation of these Terms, suspected fraud, abuse, or risk to other users. Upon termination your right to use the Service ceases immediately.

NO REFUNDS. Except where required by applicable non-waivable consumer law, all fees, subscriptions, boosts, likes, super-likes, virtual items and any other purchases are final and non-refundable. Termination for cause forfeits any unused balance without compensation.

15. Severability, Waiver, Assignment & Entire Agreement

A. SEVERABILITY. If any provision of these Terms is held invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, the remaining provisions shall continue in full force and effect, and the unenforceable provision shall be reformed to the minimum extent necessary to make it enforceable while preserving its economic intent — most critically, the USD $10.00 liability cap and the class-action waiver.

B. NO WAIVER. No failure or delay by SponsorClub in enforcing any right under these Terms constitutes a waiver of that right. No waiver is effective unless in writing signed by an authorized officer of SponsorClub.

C. ASSIGNMENT. You may not assign or transfer these Terms or any rights hereunder without SponsorClub's prior written consent. SponsorClub may assign these Terms freely, including in connection with a merger, acquisition, or sale of assets.

D. AMENDMENTS. SponsorClub may amend these Terms at any time by posting the revised Terms on the Platform. Your continued use after the effective date constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Service.

E. ENTIRE AGREEMENT. These Terms, together with the Privacy Policy, Community Guidelines, and Billing Policy, constitute the entire agreement between you and SponsorClub regarding the Service and supersede all prior or contemporaneous agreements, communications, and understandings, whether oral or written.
